The Board of Directors of DiGi.Com Berhad (or "the Company") is pleased to inform that DiGi, a wholly-owned subsidiary of DiGi.Com Berhad, signed an agreement on 23 July 2002 with a consortium of domestic and international banks for a RM1.0 billion New Term Loan Facilities. The purpose of this transaction is to part finance the capital expenditure program over the next 2 ½ years for its ongoing capacity and coverage expansion of its high quality network to further realise the growth potential of DiGi. The full transaction involves a total of RM1.75 billion which includes amendments to DiGi’s existing RM546 million domestic term loan facility and USD52 million international term loan facility backed by The Swedish Export Credits Guarantee Board (“EKN”).

The RM1.0 billion New Term Loan Facilities comprises three tranches as follows:

(i) Tranche A

RM400 million 7 years International Facility supported by EKN which is divided into:-

(a) Tranche A1 – RM200 million Standby Letters of Credit (“SBLC”) Facility
(b) Tranche A2 – RM200 million equivalent drawn in USD

(ii) Tranche B

RM300 million 7 years International Bank Guarantee Facility

(iii) Tranche C

RM300 million 7 years Domestic Term Loan Facility (floating rates)

The consortium of domestic and international banks comprises the following:

Funders for the respective tranches of the international facilities are as follows:-

i) Tranche A

Tranche A2 – RM200 million equivalent drawn in USD (floating rates)

Funding provided by the syndicate of international banks

ii) Tranche B

RM300 million 7 years International Bank Guarantee Facility – The Employees Provident Fund (fixed rate)

None of the Directors or substantial shareholders of the Company or persons connected to them have any interest, direct or indirect, in these facilities.
