We refer to the announcements dated 1 December 2023, 20 June 2024 and 28 June 2024 ("Earlier Announcements"). Unless otherwise defined, the definitions set out in the Earlier Announcements shall apply throughout this Announcement. On 28 June 2024, CelcomDigi entered into a shareholders' agreement ("Shareholders Agreement") with MoF Inc., YTL, Maxis, U Mobile and DNB. By a letter dated 13 May 2025 ("Letter of Variation"), the parties to the Shareholders Agreement agreed to vary certain terms of the Shareholders Agreement.
