CDB wishes to announce that its wholly-owned subsidiary, CelcomDigi had on 1 December 2023 entered into a conditional share subscription agreement with MoF Inc. and DNB ("SSA") to subscribe for new ordinary shares in DNB ("DNB Shares") and provide shareholder advances to DNB ("Proposed Shareholder Advance", together with the Proposed Subscription and Proposed Acquisition, "Proposed Transaction") in accordance with the terms as set out in the SSA.
